IMPORTANT: Acceptance of these Terms and Conditions
By requesting an API Key and accessing the API service you are agreeing to the terms and conditions.
You or API Partner
Means the company who has requested and or issues an API key.
Refers to the business agentOS, agentPay, agentWatch and agentOS Client Account owned by agentOS Proptech Group Ltd.
Means a Client or Customer company of agentOS using agentOS software or APPs.
Means data entered onto agentOS software by agentOS Client.
Means the API (Application Programming Interface) service supplied via https://live-api.letmc.com/
Means the specific set of data supplied via the API Service.
Monday to Friday
Excludes all national holidays and the period between Christmas Eve and New Year’s day.
agentOS Data Permission via agentOS Terms and Conditions
Means an agreement between agentOS Client and agentOS giving permission to issue You an API key.
AgentOS Client Data.
1.1 The agentOS Client, not you, not agentOS, shall have sole intellectual property ownership of their Customer Data, and are responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of that data.
1.2 The agentOS Client must agree and give permission by email or by API app before AgentOS issues a live API key.
1.3 The agentOS Client can cancel the agentOS key at any time and with immediate effect.
1.4 Requests for issuing to an API key are made via email@example.com.
1.5 AgentOS is not responsible or liable for the deletion, correction, destruction, damage, permissions, loss or failure to store any agentOS Client Data.
1.6 AgentOS cannot guarantee the accuracy of data entered, owned and maintained by the agentOS Client.
1.7 AgentOS does not monitor or is responsible for and the consequences of data accuracy, or required data permissions.
agentOS Client Subscription Fee
2.1 Subscription fee is applied per API Call charged to the agentOS Client.
2.2 If you pay a commission as an alternative to an agentOS Client subscription fee, the commission payment total must be equal to the subscription fees.
2.3 If you stop paying a commission, subscription fees will apply immediately to agentOS Client.
API Service Technical Support.
3.1 Available from Monday to Friday 10:00am to 4:00pm, excluding bank holidays and planned closures. Email support is available on API@agentOS.com.
4.1 AgentOS grants you a non-exclusive, non-transferable, worldwide right to use the API Service, solely for your own internal business purposes, subject to the terms and conditions of this Agreement. All rights not expressly granted to you are reserved by agentOS.
4.2 You are responsible for all activity occurring under your API Key.
4.3 You shall notify AgentOS immediately of any unauthorized use of the API Key or any other known or suspected breach of security.
4.4 You may not access the Service if you are a direct competitor of agentOS. If you are a competitor and accesses the API using an API key issued by agentOS client or an API Partner, then you will be liable for intellectual property (IP) damages, losses and loss of client subscription.
4.5 You may not allow any third parties or competitors of AgentOS access to the API Service. If a competitor accesses the API using a API key issued to you, then you will be liable for intellectual property (IP) damages and loss of client subscription.
4.6 AgentOS will from time to time upgrade, modify, limit and suspend the API Service. As a user of the API Service, you must accept the upgrade or modification. You are responsible for monitoring upgrade release notes and technical specifications and assessing the impact these changes have on your business. AgentOS is not responsible for the cost of implementing changes due to the impact of the upgrade or modification.
4.7 AgentOS cannot be held responsible for any losses due to bugs or errors in the API Service.
4.8 You must not under any circumstances publish the AgentOS clients short name and API key within any of your code. If agentOS discovers a public agentOS API key, we will revoke it immediately.
5.1 AgentOS will promote the API connection and service.
5.2 From time to time AgentOS may use your company and logo for marketing purposes, if you do not wish your logo to be used in AgentOS marketing please confirm in writing.
Internet Delays and Business Continuity.
6.1 AgentOS API services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.
6.2 AgentOS is not responsible for any delays, delivery failures, or other damage resulting from such problems.
6.3 AgentOS API Service are hosted by Amazon Web Services on their EC2 servers in Ireland.
Modification to Terms.
7.1 AgentOS reserves the right to modify the terms and conditions of these Terms and Conditions or its policies relating to the API Service at any time, effective upon posting of an updated version of this Agreement.
7.2 You are responsible for regularly reviewing this Agreement.
7.2 Your continued use of the API Service will be deemed acceptance of these terms and conditions and any amendments made to them from time to time.
Governing Law and Jurisdiction.
8.0 This Agreement will be governed by English and Welsh law and both parties agree to be bound by the exclusive jurisdiction of court in England and Wales.
